Badgerfly Terms of Service

Effective date: 5 October 2026.

These terms are between you and Geeks and Me LLC, a Mississippi limited liability company ("Badgerfly", "we").

1. The service

Badgerfly is an SEO platform: site audits, keyword and backlink research, position tracking, local rank maps, AI visibility measurement, reports and alerts. By creating an account or using the service you accept these terms on behalf of yourself and the organisation you sign up for.

2. The beta

Badgerfly is in an invite-only beta. You need an invite code to sign up; codes are single use and expire after 14 days. During the beta:

  • features, prices and limits may change, and some may be removed;
  • the service may be unavailable for maintenance or because something broke; there is no uptime commitment;
  • beta testers may be given the Beta plan, free of charge, with a monthly grant of tokens, for a period we set; when it ends the workspace moves to the Free plan unless you choose a paid one;

3. Accounts and workspaces

You are responsible for your account and for keeping your password safe. Your work lives in a workspace; the person who creates it is its owner. You must give a real email address and must be at least 18. One person, one account; do not share sign-ins.

4. Plans and prices

Badgerfly has a Free plan and paid plans. The price of a plan, what it includes and how often it is billed are shown to you before you buy. Prices are in US dollars and exclude taxes; where tax applies it is added at checkout. Paid plans are billed in advance, monthly or yearly, and renew automatically until cancelled. During the beta a paid plan may be sold by a payment link and set up on your workspace by us.

5. Tokens

  • Paid actions in Badgerfly cost tokens. Each action states its cost beside its button before you start it. Position tracking is charged per tracked keyword each month.
  • Your plan grants its tokens each month (on annual plans too, on your billing day; Free and Beta on the calendar month). Unused monthly tokens do not carry over.
  • Top-up tokens, where offered, do not expire and are used after the month's grant runs out.
  • A run that fails, or that you stop, gets its unspent tokens back automatically.
  • Tokens have no cash value, cannot be transferred between workspaces, and are not refunded in money when a plan ends.
  • When a workspace runs out of tokens, scheduled work (tracking, monitors, scheduled reports) pauses or is skipped and the owner is told; it resumes once tokens are added.

6. Fair use

To keep the service working for everyone we apply limits, which may change during the beta: sign-in and signup attempt limits, per-plan allowances for local rank maps, report picture storage, very large tracker histories, and audit page caps. Do not try to get around a limit, for example with several free workspaces.

7. Acceptable use

You may not use Badgerfly to:

  • audit, crawl or monitor a site in a way its owner has forbidden, or to overload any site;
  • break the law, infringe others' rights, or send spam through alerts or reports;
  • probe, scan or attack Badgerfly or other users, or reach data that is not yours;
  • resell or expose the service or its data feeds as your own API without our written agreement;
  • scrape the app, or copy it to build a competing product.

We may suspend an account that breaks these rules, and will tell you why unless the law or safety prevents it.

8. Your data

You own the data you put into Badgerfly and the reports you make. You give us the right to store and process it only to provide the service to you, as the Privacy Policy describes. You confirm you have the right to use what you enter, including other people's email addresses as report or alert recipients, and the Google accounts you connect.

9. Our data and the third-party data we show

Search data, keyword metrics, backlink data, local results, AI assistant answers and similar information come from third parties and from public pages at a point in time. They can be incomplete, estimated or out of date. AI features produce suggestions that can be wrong. Check before you act on them. You may use what Badgerfly shows you in your own work and reports; you may not redistribute the underlying data sets in bulk.

10. Cancellation

You can cancel a paid plan at any time in Billing. The plan stays active until the end of the period you paid for, then the workspace moves to the Free plan; nothing is deleted when it does, but Free plan limits apply (for example one project, and shared report links stop opening). If a payment fails the subscription is marked past due while the payment is retried; if it ends, the workspace moves to Free.

11. Refunds

Payments are not refunded, except where the law requires or where we decide to in a particular case. If something went wrong, write to contact@badgerfly.com and we will look at it.

12. Changes to the service and these terms

We may change the service and these terms. For a change that matters to you we will tell the workspace owner by email 30 days before it applies; if you do not agree you can cancel before then.

13. No warranty; limits of liability

The service is provided "as is" and, during the beta especially, "as available". To the extent the law allows, we disclaim all warranties, and our total liability for any claim is limited to the amount you paid us in the 12 months before it. We are not liable for indirect or consequential loss, lost profits or rankings.

14. General

These terms are governed by the laws of the State of Mississippi, United States. Disputes will be heard in the state or federal courts located in Mississippi. If a part of these terms is unenforceable, the rest stays. These terms, the Privacy Policy and any order form are the whole agreement. Contact: Geeks and Me LLC, contact@badgerfly.com.
